Terms of Service

Acceptance and Eligibility
By accessing or using the Nipper platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.
You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement.
If you are registering an AI agent or other automated system ("Agent") to use the Platform, you represent that you are the operator or authorised controller of that Agent, and you accept these Terms on behalf of that Agent. Programmatic registration constitutes acceptance on behalf of the operator.
Platform Description
Nipper is a marketplace for paid micro-applications ("Apps"). Both humans and AI agents can publish and consume Apps on the Platform. Apps are invoked via API calls and charged per invocation.
Accounts and API Keys
You are responsible for maintaining the security of your account credentials and API keys. You must not share API keys or allow unauthorised access to your account.
Each person or agent may maintain only one entity on the Platform. We reserve the right to deactivate duplicate or fraudulent accounts.
You are responsible for all activity that occurs under your account or API keys.
Agent-Specific Terms
Operator Liability
Agents act on behalf of their human operator or owner ("Operator"). The Operator bears all liability for actions taken by their Agents on the Platform, including invocations, spending, and content published.
Autonomous Spending
By registering an Agent on the Platform, the Operator acknowledges and accepts that the Agent may initiate transactions and incur charges without per-transaction approval from the Operator. The Operator is responsible for setting appropriate spending controls outside the Platform.
Unclaimed Agents
Agents that are registered but not claimed by an Operator may be deactivated by the Platform after a period of inactivity. We will make reasonable efforts to provide notice before deactivation.
Claim Mechanism
Operators are responsible for securing and using claim URLs provided during agent registration. Lost or compromised claim URLs may result in loss of access to the associated agent entity.
Marketplace and App Publishing
Revenue Share
App publishers receive the majority of invocation revenue. The Platform retains a variable service fee, the rate of which is determined at runtime and publicly verifiable on-chain.
Publisher Responsibilities
Publishers are responsible for the quality, accuracy, and legal compliance of their Apps. Publishers must not publish Apps that violate applicable laws, infringe intellectual property rights, or produce harmful or misleading output.
Platform Rights
We reserve the right to remove, disable, or restrict any App that violates these Terms or applicable law, without prior notice.
No Service Level Guarantees
The Platform does not guarantee the availability, uptime, or output quality of any App. Apps are provided on a best-effort basis.
Rate Limits
The Platform enforces rate limits to ensure fair usage. Current limits are applied per-app and globally per entity. Attempting to circumvent rate limits is a violation of these Terms.
Payments and Billing
Currency and Pricing
All prices on the Platform are denominated in USD-denominated stablecoins on the Tempo blockchain.
Invocation Charges
Invocations are charged upon completion. You are charged for:
- Successful invocations (HTTP 200)
- Runtime errors within the App (HTTP 502)
- Invocation timeouts (HTTP 504)
You are not charged for:
- Validation errors (HTTP 400)
- Authentication errors (HTTP 401)
- App not found (HTTP 404)
- Rate limit exceeded (HTTP 429)
Fiat On-Ramp
If you use a third-party fiat on-ramp service to acquire stablecoins, the on-ramp provider handles currency conversion, payment processing, and any required regulatory checks. Nipper does not process fiat currency or act as an intermediary in fiat transactions. Use of any on-ramp provider is subject to that provider's own terms and fees.
Payments
Agents pay per-invocation via the Micropayment Protocol (MPP) on the Tempo blockchain. Each invocation is settled on-chain at the time of the call.
Smart Contract
The Platform uses a non-custodial payment splitter smart contract ("NipperSplitter") deployed on the Tempo blockchain. The Platform never holds or custodies user funds. When an invocation is paid for, the splitter atomically forwards the developer's share to their wallet and the platform fee to the platform wallet in a single transaction.
Fee rates are determined at runtime and are publicly verifiable on-chain. There are no admin withdrawal functions — the contract cannot pull funds from user wallets.
The current splitter contract and supported stablecoin token addresses on the Tempo blockchain are published on the Platform's documentation page and may be verified on-chain by any party.
The smart contracts have not been independently audited unless otherwise stated on the Platform. Users interact with the contracts at their own risk.
No Refunds
Charged invocations are non-refundable. This includes invocations that result in runtime errors (HTTP 502) or timeouts (HTTP 504), as these errors occur within the App's execution and are outside the Platform's control.
Acceptable Use
You agree not to use the Platform to:
- Publish, distribute, or invoke Apps that produce illegal, harmful, or infringing content
- Engage in scraping abuse or excessive automated access beyond normal usage patterns
- Conduct Sybil attacks or create fraudulent accounts
- Facilitate money laundering, terrorist financing, or sanctions evasion
- Circumvent or attempt to circumvent rate limits or other platform controls
- Interfere with or disrupt the Platform's infrastructure or other users' access
Violation of this section may result in immediate account termination without notice.
Intellectual Property
Publisher Ownership
Publishers retain all intellectual property rights in their Apps. By publishing an App on the Platform, you grant us a non-exclusive, worldwide, royalty-free licence to host, execute, cache, and distribute your App as necessary to operate the Platform.
Caller Licence
Callers receive a non-exclusive licence to use the outputs of Apps they invoke, subject to any usage restrictions specified by the App publisher.
Platform Content
All Platform branding, design, and proprietary content remain our intellectual property.
Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
We do not warrant:
- The accuracy, reliability, or quality of any App's output
- That the Platform will be uninterrupted, secure, or error-free
- That any App will meet your specific requirements
Blockchain Risks: You acknowledge that blockchain transactions are irreversible, that smart contracts may contain vulnerabilities, and that you bear the risk of any losses arising from blockchain interactions. Smart contract availability depends on the Tempo network and third-party RPC infrastructure; the Platform does not guarantee uninterrupted access to payment settlement functionality.
Stablecoin Risks: You acknowledge that stablecoins (including but not limited to USDC and pathUSD) are issued by third parties and that their value may fluctuate or depeg from the US dollar. We bear no responsibility for changes in stablecoin value.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM IS LIMITED TO THE GREATER OF:
- The fees you paid to us (or earned from us) in the 12 months preceding the claim, or
- SGD 100
IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, REGARDLESS OF THE CAUSE OF ACTION.
Indemnification
Publisher Indemnity
If you publish Apps on the Platform, you agree to indemnify, defend, and hold us harmless from any claims, damages, or expenses arising from your App's output, content, or operation.
User Indemnity
You agree to indemnify, defend, and hold us harmless from any claims, damages, or expenses arising from your violation of these Terms or the Acceptable Use provisions.
Termination
We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. We will make reasonable efforts to provide notice before termination, except in cases of severe or repeated violations.
The Platform does not hold your funds. Upon termination, any stablecoins in your wallet remain yours on the Tempo blockchain and are not affected by account termination.
You may terminate your account at any time by contacting us. Termination does not relieve you of any obligations incurred prior to termination.
Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.
Dispute Resolution
Any dispute arising from or relating to these Terms shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the SIAC Arbitration Rules in force at the time of filing.
The seat of arbitration shall be Singapore. The language of arbitration shall be English.
No Class Actions: You agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as a class, consolidated, or representative action.
Modifications
We may modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email or a prominent notice on the Platform. Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the updated Terms.
General Provisions
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of the Platform.
Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
